Persimino is powered by Shopify, which enables us to provide the Services to you.
These Terms of Service, together with any policies referenced in them (collectively, the “Terms”), describe your rights and responsibilities when you access or use the Services.
Please read these Terms carefully. They contain important information concerning your legal rights, purchases, responsibilities, warranties and limitations of liability.

We may update product descriptions, packaging, specifications or other product information from time to time where reasonably necessary.
We reserve the right to discontinue products and, where permitted by law, to limit quantities or availability by customer, location, geographic region or jurisdiction.
Nothing in this section affects your statutory rights where a product is faulty, damaged, misdescribed or otherwise does not conform to the contract or applicable consumer-protection law.
SECTION 3 - ORDERS
When you submit an order, you are making an offer to purchase the products included in that order.
We reserve the right to accept or decline an order where reasonably necessary, including where:
- a product is unavailable;
- payment cannot be authorized;
- information provided appears incorrect or incomplete;
- we reasonably suspect fraud, unauthorized activity or misuse;
- an obvious pricing or product-information error has occurred; or
- we cannot lawfully fulfil or deliver the order.
Payment must be successfully authorized before an order can be fulfilled.
When your order is accepted, you will receive an order confirmation or other confirmation through the contact information provided during checkout.

If you need to cancel or modify an order, contact us as soon as possible at info@persimino.com. We will make reasonable efforts to assist, but we cannot guarantee changes or cancellations once an order has entered fulfillment or been shipped.

SECTION 4 - PRICES, DISCOUNTS AND BILLING
Prices, promotions and discounts may change from time to time.
The price applicable to your order will be the price shown and agreed at checkout when the order is submitted, subject to correction of obvious errors where permitted by law.
Applicable shipping charges, taxes, duties or other mandatory charges will be displayed or otherwise disclosed before completion of the purchase where required by law.
Promotional offers may be governed by additional conditions. If specific promotion terms conflict with these Terms, the specific promotion terms will govern that promotion.
You agree to provide accurate and current billing, payment and account information.
You represent that you are authorized to use the payment method submitted for the purchase.
If we are unable to process your payment, we may be unable to accept or fulfil the order.
SECTION 5 - SHIPPING AND DELIVERY

Delivery times communicated through the Services are estimates unless expressly stated otherwise.
Delays may occur as a result of carrier operations, customs processing, severe weather, public holidays, incorrect addresses or other circumstances outside our reasonable control.
Where applicable law requires delivery within a particular period, your statutory rights remain unaffected.
Where Persimino arranges shipment to a consumer, the risk of loss of or damage to the goods remains with Persimino until you, or a third party designated by you other than the carrier, takes physical possession of the goods, except where you independently commission a carrier that was not offered by us and applicable law provides otherwise.
Please ensure that your shipping information is complete and accurate before placing your order.
If you notice an address error, contact us as quickly as possible. We cannot guarantee that an address can be changed once fulfillment has begun.
SECTION 6 - PURCHASE OPTIONS AND SUBSCRIPTIONS
Where Persimino offers subscriptions, recurring purchases or other purchase options, additional terms may apply to those purchases.
Before agreeing to a recurring purchase, the applicable frequency, price, discount, renewal conditions and cancellation options will be displayed during checkout or through the relevant purchase option.
Recurring payments will only be charged in accordance with the purchase option selected by you.
You may cancel or manage eligible recurring purchase arrangements in accordance with the applicable Purchase Options Cancellation Policy and any mandatory cancellation rights available under applicable law.
If Persimino does not currently offer recurring purchase options, this section does not affect one-time purchases.
SECTION 7 - INTELLECTUAL PROPERTY
The Services and their content, including trademarks, trade names, logos, text, graphics, photographs, videos, audio, product designs and website design, may be owned by Persimino, Shopify or their respective licensors and are protected by applicable intellectual-property laws.
You may use the Services for lawful personal and non-commercial purposes.
Unless expressly permitted, you may not reproduce, distribute, republish, modify, sell, commercially exploit or create derivative works from protected materials belonging to Persimino or its licensors without prior authorization.
Nothing in these Terms transfers ownership of Persimino's intellectual property to you.
Persimino's trade name, branding, logos, product names and designs may not be used in a manner that suggests endorsement, affiliation or authorization without our prior permission.
Shopify's names, trademarks and branding remain the property of Shopify or its licensors.
SECTION 8 - OPTIONAL THIRD-PARTY TOOLS
The Services may provide access to tools, integrations or functionality operated by third parties.
We may not control or monitor every aspect of those third-party services.
Third-party services may be governed by their own terms, privacy policies and conditions.
Your use of optional third-party tools is subject to the terms applicable to those services.
Nothing in this section excludes responsibility that Persimino cannot lawfully exclude under applicable law.
We may introduce new features, tools and resources in the future. Unless stated otherwise, they will form part of the Services and be subject to these Terms.

The Services may contain links to or embedded functionality from third-party websites or services.
We are not responsible for the content, availability or practices of independent third-party websites.
If you follow a third-party link, you should review that party's terms, privacy policies and other applicable conditions.
We are not responsible for purchases or transactions you independently make with third parties merely because their services or links are accessible through our website.
Nothing in this section limits rights or remedies that cannot lawfully be excluded.
SECTION 10 - RELATIONSHIP WITH SHOPIFY
Persimino is powered by Shopify, which enables us to provide the Services to you.
However, any sales and purchases you make in our Store are made directly with Persimino.
By using the Services, you acknowledge and agree that Shopify is not the seller of Persimino products and is not responsible for the performance of the sales contract between you and Persimino.
To the extent permitted by applicable law, Shopify and its affiliates are not responsible for claims arising solely from products sold by Persimino or transactions entered into directly with Persimino.
Nothing in this section affects any rights you may have against Shopify where applicable law independently provides such rights.

If you voluntarily submit feedback, reviews, suggestions, photographs, comments or similar content (“Feedback”), you confirm that you have the necessary rights to submit that content.
You grant Persimino a non-exclusive, worldwide, royalty-free license to use, reproduce, publish, display and distribute Feedback for operating, improving and promoting the Services, subject to applicable privacy and consumer-protection laws.
Where content is used for advertising or promotional purposes, we will comply with applicable requirements concerning endorsements, testimonials and disclosure.
You must not submit content that:
- infringes another person's intellectual-property or privacy rights;
- contains unlawful, defamatory, threatening or abusive material;
- contains malicious software;
- impersonates another person; or
- intentionally provides materially false or misleading information.
You remain responsible for content you submit.
Where you received compensation, a free product or another incentive in exchange for a review or endorsement, you must disclose it where required by applicable law.
We may remove content where reasonably necessary because it is unlawful, infringes rights, violates these Terms or is otherwise inappropriate for the Services.

We may implement technical measures to limit automated access where reasonably necessary for security, performance, legal compliance or protection of the Services.

You may stop using the Services at any time.
We may suspend or terminate access to the Services where reasonably necessary, including in response to material violations of these Terms, unlawful conduct, fraud or security threats.
Termination does not affect rights or obligations that arose before termination.
Sections that by their nature are intended to survive termination will continue to apply, including provisions relating to intellectual property, liability, privacy, dispute resolution and accrued payment obligations.

We aim to provide the Services accurately and reliably, but we cannot guarantee that website access will always be uninterrupted, completely error-free or available at all times.
Information provided through the Services is generally provided for informational purposes and should be considered together with the specific information supplied with the relevant product.

Any voluntary commercial guarantee offered by Persimino is additional to, and does not replace or reduce, your mandatory statutory rights.

To the maximum extent permitted by applicable law, Persimino will not be liable for indirect, incidental, special or consequential losses that were not reasonably foreseeable when the relevant contract was formed.
Nothing in these Terms excludes or limits liability where exclusion or limitation would be unlawful.
In particular, nothing in these Terms excludes or limits liability for matters that cannot legally be excluded, including any liability that applicable law requires us to retain.
Nothing in this section limits your mandatory rights or remedies as a consumer, including rights relating to defective, unsafe, damaged, misdescribed or non-conforming goods.
SECTION 19 - RESPONSIBILITY FOR MISUSE OF THE SERVICES
You are responsible for losses reasonably caused by your unlawful use of the Services or by a material violation of these Terms where applicable law permits such responsibility to be imposed.
This section does not require a consumer to indemnify Persimino, Shopify or another party beyond what may lawfully and fairly be required under applicable law.
Nothing in this section limits mandatory consumer rights.
SECTION 20 - SEVERABILITY
If any provision of these Terms is held to be unlawful, invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it enforceable where possible.
If that is not possible, the affected portion will be severed.
The remaining provisions will continue in effect to the extent permitted by law.
SECTION 21 - WAIVER AND ENTIRE AGREEMENT
If we do not immediately enforce a provision of these Terms, that does not mean we waive our right to enforce it later.
These Terms, together with policies and additional conditions expressly incorporated by reference, form the agreement governing your use of the Services.
Nothing in this section limits pre-contractual information or consumer rights that applicable law requires to form part of the sales contract.
SECTION 22 - ASSIGNMENT
You may not transfer contractual rights or obligations where doing so would materially affect Persimino without our consent, except where applicable law gives you the right to do so.
We may transfer our rights or obligations in connection with a genuine business transfer, restructuring or similar transaction, provided that doing so does not reduce mandatory consumer protections or materially prejudice your rights.

These Terms and contracts entered into through the Services are governed by the laws of Latvia, subject to applicable conflict-of-law rules.
If you are a consumer, this choice of law does not deprive you of mandatory protections provided by the laws of your country of habitual residence where those protections apply to your contract.
Nothing in these Terms requires a consumer to bring proceedings exclusively in a jurisdiction where applicable law gives that consumer the right to bring proceedings elsewhere.

Changes will take effect from the date identified in the updated Terms or otherwise communicated to you.
Changes to these Terms will not retroactively remove rights that have already arisen under an existing purchase contract where applicable law prevents this.
SECTION 26 - CONSUMER RIGHTS
Nothing in these Terms limits rights granted to consumers under mandatory consumer-protection law.
Depending on your location, these rights may include:
- rights concerning clear pre-contract information;
- rights relating to delivery;
- statutory rights concerning faulty or non-conforming goods;
- legal guarantees;
- rights to repair, replacement, price reduction or refund where applicable;
- rights to cancel eligible distance contracts; and

For eligible online purchases by consumers in the European Union, a statutory withdrawal period will generally apply subject to exceptions provided by law, including certain sealed products that are unsuitable for return for health-protection or hygiene reasons once unsealed.
